THE EMPLOYER:
Our client is of one of the world's largest energy companies. It has operated in China for more than three decades. It was one of the earliest and largest foreign invested enterprises in China. The company has over 30 JVs and wholly owned companies in China and more than 3,000 staff.
Currently, the company is seeking a Senior Legal Advisor, based in Shanghai.
DUTIES & RESPONSIBILITIES:
The successful candidate will provide legal support to the company’s refining business development activities in China, reporting to the Legal Manager and working closely with internal and external parties in handling a variety of legal matters. Responsibilities include:
- Provide general commercial, regulatory and specialist legal advice
- Participate in due diligence investigations
- Draft, review, negotiate and provide opinions on commercial and project agreements (particularly JV agreement as well as supply, purchase, logistics, procurement, construction, financing, agency and distribution agreements)
- Provide guidance on competition law, trade sanctions, anti bribery and corruption law, employment law, technology licensing and dispute resolution whilst recognising when to obtain specialist advice
- Identify and contribute to the management of significant legal risks
- Contribute to the provision of targeted legal awareness briefings, compliance and preventative law seminars
- Collaborate with business management to identify options for achieving the company’s objectives with due regard to legal risks and within applicable legal constraints
REQUIREMENTS:
- Law degree from a reputable China law school; overseas legal education background is a plus
- PRC bar qualification is required
- Around 10 years of relevant experience in a leading MNC, international law firm or PRC law firm; 5+ years PQE in international law firm(s) is required
- Leading experience in structuring and delivering major petrochemicals, refining or other infrastructure projects
- Capable of handling complex commercial work and finding commercially viable solutions in an emerging legal system
- Able to identify, advise on and mitigate key legal and compliance risks
- Strong business acumen, self-motivated, proactive and able to work independently with minimum supervision
- Strong sense of ethics, high professional standards and personal integrity
- Strong communication, influencing and networking skills and able to focus and direct the efforts of internal and external legal resources to provide critical legal support
- Excellent communication and drafting skills in both English and Chinese
- Willing to travel as requested
