THE EMPLOYER:

The company is seeking a Senior Corporate Counsel to join its legal team, based in Beijing.

DUTIES & RESPONSIBILITIES:

• Review and negotiate inbound supplier contracts primarily required from Facilities, Procurement, Marketing, IS&T and other departments
• Responsible for negotiating and drafting customer software license agreements, consulting agreements and channel agreements
• Localization and drafting of commercial documentation: including end user, reseller and distributor software license agreements and software support agreements
• Able to independently draft assignment agreements, extension and amendment agreements to existing agreements in both English and Chinese 
• Able to respond to customer, sales representatives and management queries regarding contractual requirements, having regard to the company’s policies and procedures
• Provide advice on the development of new standard contract forms as necessary and be responsible for managing the contract administration
• Monitor law changes
• Provide training to sales on our standard contract and code of conduct

REQUIREMENTS:

• PRC bar admission — required
• 8+ years experience in an in-house legal department of a multi-national company within the IT/Software industry; or in an international law firm — an advantage
• Excellent command of English skills (verbal and written)
• Good drafting and negotiation abilities
• Effective time management skills
• Familiarity with the use of IT systems — ideal
• Have lateral thinking, be results focused and be able to positively assist the business whilst ensuring compliance with corporate standards
