THE EMPLOYER:
Our client is an international shopping center company and one of Canada’s pre-eminent property owners, managers, developers and investors. The company focuses on high-quality regional and super-regional shopping centers and has assets in nine countries around the world.
DUTIES & RESPONSIBILITIES:
The successful candidate will be responsible for all legal affairs on behalf of the company in China, and will work closely with the Corporate Legal department in Canada, to ensure our business strategies, investment, operations and other activities are consistent with Corporate legal requirements and in full compliance with PRC laws/regulations. This role will involve drafting in English and Chinese, and the negotiation of various commercial contracts, including leases, joint venture agreements, vendor agreements, as well as mergers and acquisition.
This position reports directly into Senior Vice President, China and General Manager, as well as functionally reports to Corp. General Counsel in Montreal. The detailed duties are followed as:
- Provide all legal support to assure the company’s business operates in a legally effective and efficient manner, focusing on practical solutions to business issues
- Be responsible for all legal activities, policies, practices, and standards of the company in China and managing issues related to company’s legal matters about business operations, leasing, financing, development, environmental and intellectual property matters
- Provide the Company’s management team with legal advice on and assistance in the development of proposed or pending business actions, decisions, or policies
- Conduct and oversee research into a variety of legal issues in various fields and provide analysis of legal and policy issues affecting the Company and its business
- Work together with VP, investment-Asia, related departments in Corporate office, as well as external legal counsels to prepare all legal documents, proposals, agreements for all merger and acquisition activities in China
- Work together with related departments to prepare and finalize all company’s legal documents, agreements and contracts
- Provide leadership for all legal staff in China and act as key interface with all outside legal counsel
REQUIREMENTS:
- PRC National candidate with LLB, LLM from North American university is preferred
- Fluent English and Mandarin in writing and speaking
- At least 7 years as a full Chinese lawyer, of which 2 years at a senior level, ideally with several years of in-house experience
- Experience in dealing with legal entities trading, sales, real estate, retailer, and customer, issues, prior experience in merger and acquisition especially in real estate industry is a definite advantage
- Experience in dealing with acquisitions, financing and real estate matters in a multinational company or lawyer firm
- Meaningful exposure to cross border transactions
- Extensive direct exposure to senior Executives and large complex transactions
