Headquartered in USA, our client has become a world leader in providing global network infrastructure products and services that enable delivery of high-speed Internet, video, data, and voice services to residential, business and mobile subscribers.
The company entered into China in 1996.It established sales offices in Beijing, Shanghai, Guangzhou and Chengdu.Currently, the company is seeking China Legal Counsel, based in Shanghai or possibly in Shenzhen.
DUTIES & RESPONSIBILITIES:
The successful candidate will provide legal advice to the company’s various business units and subsidiaries in China, and assist Associate General Counsel in monitoring and advising the company on matters of general contracting, negotiations, and matters of general corporate, commercial law and environmental law.The main duties are:
- Provide legal support for assigned projects including commercial legal matters, complex matters as strategic acquisitions, alliances, or internal reorganizations, real estate, environmental, corporate and financing matters
- Prepare and negotiate contracts pertaining to the company's business, including distribution agreements, purchase agreements, acquisition agreements, real estate leases, equipment leases, software license agreements, alliance arrangements, joint venture formation, establishment of foreign office and subsidiary operations, working directly with business managers and other attorneys
- Assist in the implementation and monitoring of corporate, legal and contracting policies and guidelines as well as the company’s Business Conduct Policies
- Provide legal support in corporate subsidiary maintenance and knowledgeable about basic employment law maters
- Support litigation management and due diligence activities regarding mergers, acquisitions and divestitures
REQUIREMENTS:
- 4 -10 years of experience with international law firm, leading PRC law firm or corporate law department of MNC
- Law degree(s) from reputable China and/or overseas law school(s)
- PRC and/or US (UK) bar qualification
- Good language skills in both English and Chinese
- Work experience with western companies and culture – desirable
- Detail oriented, self-motivated and analytical
