THE EMPLOYER:
Our client is the world's leading supplier of auto parts. All of the company’s business sectors are present in China: Automotive Technology, Industrial Technology and Consumer Goods and Building Technology.
The company operates 37 legal entities in China and has a holding company in Shanghai. By the end of 2007, the company had invested around 1 billion euros in China.Between 2008 and 2010 it will invest a further 850 million euros.
DUTIES & RESPONSIBILITIES:
The successful candidate will pro-actively assist China Legal Director in the legal affairs (in co-operation with Corporate Legal Department) and business development. Main duties and responsibilities are:
Legal Affairs (in co-operation with Corporate Legal Department)
1. Holding Functions / Policy Directives
- Negotiate and conclude contracts/agreements ref acquisition or sale of business activities
- Object or oppose to jurisdictional measures taken by Chinese authorities
- Initiate and terminate legal disputes
- Establish and amend general business terms (purchasing sales. service/guaranty)
- Secure company’s principle of legality
- Advise divisions and business units in China in all questions concerning securing data / environmental protection as long as legal requirements are involved
- Inform and advise corporate departments about Chinese law and new legislation
2. Service Functions
- Advise divisions and business units in China in legal affairs including individual projects / dealing with official Chinese authorities
- Advise business units in China in contract law and liability law
- Represent interest of the company vis a vis authorities and government bodies
- Support divisions and business units in China in conjunction with the acquisition or sale of business activities
- Support business units in China in questions concerning legal involvement
Business Development / Administration
1. Holding Function / Policy Directives
- Establish and keep contacts to supervisory government body
- Co-ordinate establishment of new company activities in China. e.g. of new production facilities
2. Service Functions
- Co-ordinate and support divisions and business units in China in all regulatory / office matters
- Liaise with government bodies / authorities (central/local)
REQUIREMENTS:
- Law degree from a reputable Chinese law school and/or from an overseas law school
- Strong practice experience in M&A
- Experience in a leading MNC, or an international law firm – preferred
- PRC bar admission
- Good drafting and negotiation skills
- Excellent command of English
