THE EMPLOYER:
Our client is a leading global manufacturer of motion and control technologies and systems. It employs over 50,000 people in 43 countries around the world.
In the early 1990s, the company set up operations in China and established its Asia Pacific headquarters in Hong Kong in 1994.In 2006, it established China headquarters in Shanghai.Currently, the company is seeking it’s first Asia Pacific Legal Counsel, based in Shanghai.
DUTIES & RESPONSIBILITIES:
This position is focused mainly on acquisition work in the whole of the Asia Pacific region.S/he reports to Associate General Counsel based in Europe. The main responsibilities are:
- Support M&A and investment activities in China/Asia Pacific
- Manage work of outside counsel in China/Asia Pacific
- Sit on the Asia Pacific senior management team; provide legal information and advice to management; review and comment on legal profile and other business transactions to ensure compliance
- Participate in legal structuring and negotiation of major transactions including setting up new business units, merger and acquisition projects
- Conduct factual and case law research as needed
- Work with corporate legal and outside council to provide timely and independent advice on legal risk issues relevant to the operational units for informed decision making
- Provide and coordinate with legal resources for handling secretarial matters for all China legal entities
- Participate in staff training on policies and procedures related to legal matters
- Provide preliminary legal document review; draft and/or abstract legal documents for review by in house lawyers or outside councils
- Manage the organization, compilation, keeping of necessary record and presentation of documents to satisfy legal compliance requirements, litigation and projects
- Keep the management updated on future changes in the aspect of legal affairs
REQUIREMENTS:
- 8+ years working experience in international M&A
- Strong communication, negotiation and organization skills with good business sense and broad vision
- Strong English language fluency both orally and in writing
- PRC bar qualification - plus
- Overseas studies or work experience with multinational company - preferred
- Strong computer skills including web-based, research, document organization and task management
